Terms of Service
The rules for using Unify, what you can expect from us, and what we expect from you.

1. Acceptance of these terms
These Terms of Service (“Terms”) are an agreement between you and Nio DBP (“we”, “us”, “our”) governing your use of Unify — our website, applications, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
2. The service and eligibility
Unify provides AI-assisted practice, live classes, and human teacher feedback to help you prepare for language exams, including IELTS, CELPIP, and PTE (English) and TEF, TCF, and DELF (French). The Service is a preparation tool; it is not affiliated with, endorsed by, or an official provider of any exam.
You must be able to form a binding contract to use the Service. If you are under the age of majority in your region, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms.
3. Your account
You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity under your account. Accounts are personal to you and may not be shared, resold, or transferred. Notify us promptly at support@niodbp.com if you suspect unauthorized use.
4. Plans, billing, and renewals
Paid plans are billed in advance on a recurring basis (for example, monthly) or as a one-time purchase, as described at checkout. Prices may be shown in CAD or INR and are exclusive of taxes unless stated otherwise.
- Recurring subscriptions renew automatically until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
- We may change prices or plan features on prospective notice; changes never apply retroactively to a period you already paid for.
- Refunds and cancellations are governed by our Refund Policy.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Share, resell, or redistribute course content or your account access.
- Copy, scrape, reverse-engineer, or attempt to extract our content or models.
- Upload harmful code, or interfere with the security or operation of the Service.
- Impersonate others or misrepresent your identity in graded or live activities.
- Attempt to use the Service to cheat on, or gain unfair advantage in, any official exam.
6. AI-assisted features and content
Some features generate content using AI, which is clearly labeled where it appears. AI output can be incomplete or incorrect, and it is provided to support your learning, not as a definitive assessment. Where a grade affects your readiness score, a human teacher reviews it. You are responsible for how you use AI-generated suggestions.
7. No guarantee of exam results
Unify is a preparation tool. We do not guarantee any particular exam score, band, level, certification, admission, visa, immigration, or employment outcome. Readiness estimates and predicted scores are informational only and are not a promise of your actual result. Your outcome depends on many factors outside our control, including your own effort and the official exam on the day.
8. Intellectual property
The Service, including course materials, software, text, graphics, and branding, is owned by Nio DBP or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial exam preparation while your account is in good standing.
9. Your content
You retain ownership of the writing, speaking samples, and other content you submit (“Your Content”). You grant us a license to host, process, and display Your Content solely to operate and improve the Service and to generate your feedback and grades. You are responsible for ensuring you have the right to submit Your Content.
10. Third-party services
The Service may link to or rely on third-party services, such as payment processors and communication tools. Those services are governed by their own terms and privacy policies, and we are not responsible for their content or practices.
11. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that any content is complete or accurate.
12. Limitation of liability
To the maximum extent permitted by law, Nio DBP will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or opportunities, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify and hold Nio DBP harmless from claims, losses, and expenses arising out of your misuse of the Service, your violation of these Terms, or your infringement of any third-party right.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or use the Service in a way that harms other users or the Service. On termination, your license to use the Service ends; sections that by their nature should survive will continue to apply.
15. Changes to the service and terms
We may update the Service and these Terms from time to time. When we make material changes to the Terms, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws applicable in the region where you access the Service — for Canadian users, the laws of the province in which they reside, and for Indian users, the laws of India — without regard to conflict-of-laws rules. You agree to first try to resolve any dispute with us informally by contacting legal@niodbp.com. Any dispute not resolved informally will be subject to the courts of competent jurisdiction in your region.
